This Website Terms and Conditions Agreement (the ‘Agreement’) are by and between NXT Law LLC, a law firm located in the Cayman Islands (‘NXT Law’ or ‘we’), and any user of the NXT Law website (‘User’ or ‘you’).

 

1. Acceptance of Terms
   By accessing or using the NXT Law website (the “Website”), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (the “Terms”). These Terms constitute a legally binding agreement between you and NXT Law LLC. If you do not agree to these Terms, you must immediately discontinue your access to and use of the Website.
   
   Your continued use of the Website following the posting of any changes to these Terms constitutes your acceptance of those changes. NXT Law reserves the right to determine, in its sole discretion, whether you have complied with these Terms.

The NXT Law name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks or registered trademarks of NXT Law LLC or its affiliates.
   
   Users may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit or otherwise use any of the Content without the prior written consent of NXT Law LLC. Nothing contained on this website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Content without the express written permission of NXT Law LLC or the relevant third-party owner.
   
   Any unauthorized use of the Content may violate copyright, trademark, and other applicable laws and could result in criminal or civil penalties.
    

5. User Conduct
   User agrees not to engage in any Prohibited Activities while using the website. “Prohibited Activities” means any conduct that: (i) attempts to bypass or break any security mechanism on the website or using the website in any other manner that poses a security risk to NXT Law; (ii) attempts to reverse engineer or otherwise derive source code, trade secrets, or know-how from the website; (iii) attempts to use any automated means, scripts, or software to scrape, mine, or otherwise collect data from the website; (iv) imposes an unreasonable or disproportionately large load on NXT Law’s infrastructure; (v) attempts to interfere with or disrupt the proper working of the website; (vi) uploads or transmits any viruses, malware, or other malicious code; or (vii) violates any applicable laws, regulations, or third-party rights.
   
   NXT Law reserves the right to investigate and prosecute violations of any of the above to the fullest extent permitted by law. NXT Law may involve and cooperate with law enforcement authorities in prosecuting users who violate this Agreement. User acknowledges that NXT Law has no obligation to monitor User’s access to or use of the website, but has the right to do so for the purpose of operating the website, ensuring compliance with this Agreement, or complying with applicable law or other legal requirements.
    

6. Privacy Policy
   NXT Law maintains a separate Privacy Policy that governs the collection, use, storage, and protection of any personal information you may provide while using the website. The Privacy Policy is incorporated into and made part of this Agreement by reference. By using the website, you acknowledge that you have read and understood our Privacy Policy and consent to the data practices described therein. The Privacy Policy can be accessed at any time through the link provided in the website footer. NXT Law reserves the right to modify the Privacy Policy at any time, with such modifications becoming effective immediately upon posting to the website. Your continued use of the website following any changes to the Privacy Policy constitutes your acceptance of such changes.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, NXT LAW'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
    

10. Indemnification
    You agree to indemnify, defend, and hold harmless NXT Law LLC and its partners, employees, agents, and representatives from and against any and all claims, damages, losses, costs (including reasonable attorneys’ fees), and other expenses that arise directly or indirectly out of or from: (i) your breach of this Agreement; (ii) your violation of any law or the rights of a third party; (iii) your use or misuse of the Website or any Content thereon; (iv) any information or content you submit, post, transmit, or make available through the Website; or (v) your conduct in connection with the Website or with other users of the Website. NXT Law reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with NXT Law in asserting any available defenses. This indemnification obligation will survive the termination or expiration of this Agreement and your use of the Website.
     

11. Governing Law and Jurisdiction
    This Agreement and any disputes arising out of or related to the use of the Website shall be governed by and construed in accordance with the laws of the Cayman Islands, without regard to its conflict of law principles. The parties hereby irrevocably submit to the exclusive jurisdiction of the courts of the Cayman Islands for the resolution of any disputes arising from or relating to this Agreement or use of the Website. The parties waive any objection to the jurisdiction or venue of such courts.
    
    If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if that is not possible, the provision shall be severed from this Agreement without affecting the validity and enforceability of the remaining provisions.
     

12. Modifications to Terms
    NXT Law reserves the right to modify, amend, or update these Terms and Conditions at any time in its sole discretion. Such modifications, amendments, or updates shall be effective immediately upon posting on the website. Your continued use of the website following the posting of any changes to these Terms and Conditions constitutes your acceptance of such changes. It is your responsibility to regularly review these Terms and Conditions to stay informed of any updates. NXT Law will make reasonable efforts to notify users of material changes to these Terms and Conditions by posting a notice on the website’s homepage or sending an email to registered users, but you agree that NXT Law is not obligated to provide such notice.
